1. General Provisions
1.1. Legal Entity and Jurisdiction. These Terms of Service govern your access to and use of the ListyPRO platform, operated by ListyPRO LLC. ListyPRO LLC is registered in the State of Florida, USA, Florida Document Number L26000010058, filed December 29, 2025, status Active.
1.2. Non-Brokerage Nature of the Service. ListyPRO does not act as a brokerage firm, real estate agent, legal advisor, or MLS. The Service offers digital tools, including an AI-powered assistant, to real estate professionals and other users. No broker-client or agent-client relationship arises between ListyPRO and any user, and ListyPRO does not enforce, mandate, collect, or facilitate commissions or commission-sharing among real estate agents.
1.3. Incorporated Documents. Your use of the Service is also governed by our Privacy Policy, Refund Policy, Membership Terms, and any other policies published within the Service or on our website. These documents form an integral part of these Terms.
2. Acceptance of Terms
2.1. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
2.2. Your electronic acceptance of these Terms, for example by clicking I Agree or creating an account, has the same legal effect as a handwritten signature and is effective from the first date you access or use the Service.
3. Changes to Terms
3.1. We may modify or update these Terms at any time. Each new version will include a corresponding version number and effective date.
3.2. For material changes that affect your rights or obligations, we may provide notice by posting an update within the Service, sending an email to the address associated with your account, or using other reasonable means. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
3.3. We maintain versioning for transparency, for example Version 3.1.
4. Description of Services
4.1. ListyPRO provides property listings and search tools, agent workflows and resources, AI-assisted drafting tools for property descriptions and marketing copy, and marketing or distribution tools including scheduling and automated posting to supported third-party platforms where enabled.
4.2. The Service may operate in an alpha, beta, or testing phase. Certain features may be unstable, incomplete, or changed without prior notice. You assume the risk of data loss, technical disruptions, or inaccuracies.
4.3. We may introduce new or auxiliary features, including advanced analytics, integrations, or premium plans. Additional terms may apply to specific features or offerings.
5. User Registration, Requirements, and Account Security
5.1. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By registering, you represent that the information you provide is accurate and kept up to date.
5.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access or a security incident, you must notify us promptly at contact@listypro.com. We are not responsible for losses resulting from your failure to safeguard your account.
5.3. We may offer two-factor authentication and other security features. We strongly recommend enabling available security protections.
6. Payments, Subscriptions, and Refunds
6.1. Some features may require payment, including premium plans, extended AI usage, or marketing tools. Pricing and payment terms are presented within the Service or on our website at the time of purchase.
6.2. Transactions are processed by third-party payment processors that apply appropriate security standards, for example PCI DSS. ListyPRO does not store full payment card details on its servers.
6.3. Refund requests are governed by our Refund Policy, which is incorporated by reference. Please review it before purchasing.
6.4. You are responsible for applicable taxes, bank fees, chargebacks, and other amounts arising from purchases or paid features, except where required otherwise by law.
7. Disclaimer of Brokerage Services and Financial Guarantees
7.1. Nothing in the Service creates, or is intended to create, a broker-client or agent-client relationship. ListyPRO does not collect, mandate, or manage commissions or buyer-agent compensation. All financial or commission-related decisions are made directly between users without involvement from ListyPRO.
7.2. ListyPRO does not guarantee successful transactions, commission earnings, lead generation results, or the reliability of user-generated property data. Any reliance on listings, pricing, commission-related notes, or AI-generated text is at your own risk.
7.3. All financial or transactional disputes, including those involving commissions, compensation, or listing inaccuracies, must be resolved directly by the involved parties. ListyPRO is not responsible for mediating, enforcing, or guaranteeing any real estate contracts or commission arrangements.
8. Use of AI and Marketing Tools
8.1. The Service may include AI-assisted features that generate or suggest text, including property descriptions or marketing copy. You are solely responsible for reviewing, validating, and ensuring the legality, accuracy, and compliance of AI-generated content before use or publication.
8.2. Information provided by the Service, including AI-assisted outputs, is for informational purposes only and does not constitute legal, financial, investment, or real estate advice. You should consult qualified professionals for advice tailored to your situation.
8.3. If you use automated posting or integrations, you must comply with the terms and policies of each third-party platform. ListyPRO is not responsible for third-party decisions, suspensions, content removals, or disputes arising from external platforms.
9. User Obligations and Responsibilities
9.1. You agree to comply with all applicable laws, regulations, and industry standards, including real estate advertising rules, fair housing requirements, data protection laws, and jurisdiction-specific requirements relevant to listings, disclosures, and agreements.
9.2. All content you post or distribute through the Service, including listings, photos, descriptions, and marketing materials, must be lawful, truthful, and not misleading. You are solely responsible for ensuring that your content and practices comply with applicable rules, including buyer-agent agreement requirements where applicable.
9.3. You must not post fraudulent, deceptive, defamatory, or unlawful content; engage in spamming, phishing, harassment, or malicious activity; upload viruses, malware, or code that compromises the Service or other users; or infringe the intellectual property, privacy, or other rights of ListyPRO or any third party.
9.4. If you believe these Terms have been violated or suspect illegal conduct, notify us at contact@listypro.com. We may investigate and take appropriate action, including suspension or termination of accounts.
9.5. We may suspend, restrict, or terminate access for violations of these Terms. We may also seek remedies available under law if your actions cause harm to ListyPRO or other users.
10. Intellectual Property
10.1. All trademarks, logos, service marks, designs, software, and content provided by or through the Service are owned by or licensed to ListyPRO LLC, unless otherwise indicated. You may not copy, modify, distribute, sell, or create derivative works from our materials without prior written permission, except as allowed by law.
10.2. By posting content on the Service, including listings, images, or text, you grant ListyPRO a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your content solely as necessary to operate and improve the Service and to provide it to users as intended. You represent and warrant that you have all necessary rights to upload and license such content.
10.3. If you believe content infringes your copyright, send a notice to dmca@listypro.com or use the Copyright / DMCA page with sufficient detail to evaluate the claim. We may remove or restrict access to alleged infringing material, notify the uploader where required, process compliant counter-notices, and restrict, suspend, or terminate subscribers or account holders who are repeat infringers in appropriate circumstances.
10.4. Repeat infringement may include repeated confirmed copyright violations, attempts to repost disabled media without authorization, evasion of media restrictions, use of multiple accounts to continue infringing activity, or systematic uploads of listing media without required rights. Consequences may include warnings, media-disablement, manual upload review, listing restrictions, workspace restrictions, API restrictions, suspension, or termination.
10.5. ListyPRO may also limit or escalate notices, counter-notices, or bulk submissions that appear materially incomplete, knowingly misleading, duplicative, automated, unrelated to copyright, or abusive of the copyright process.
Listing Media License

Upload only photos, videos, floor plans, renderings, or other media that you own or are authorized to use and sublicense. Do not upload media copied from Zillow, Realtor.com, Redfin, Google, MLS systems, photographers, brokers, owners, or other websites unless you have permission to grant ListyPRO the rights described here.
By uploading, submitting, importing, or otherwise providing photographs, videos, floor plans, renderings, virtual tours, descriptions, property details, or other listing-related content, you represent that you own the content or have obtained all rights, licenses, consents, and permissions necessary to provide it to ListyPRO.
You must not upload listing content copied, downloaded, scraped, screenshotted, or otherwise obtained from Zillow, Realtor.com, Redfin, Google, MLS systems, broker websites, photographer websites, social media, or any third-party platform unless you have the legal right to grant the license.
You grant ListyPRO a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, reproduce, resize, crop, compress, optimize, transcode, modify, enhance, create thumbnails and derivative versions of, publicly display, distribute, publish, index, cache, syndicate, promote, and otherwise use listing content in connection with the platform.
The license covers property pages, search pages, city pages, neighborhood pages, SEO pages, maps, recommendation systems, advertising products, feeds, APIs, email previews, social cards, search snippets, fraud prevention, quality control, moderation, analytics, machine learning, deduplication, platform safety, and archived or off-market pages where permitted.
If you request removal, ListyPRO may stop public display within a commercially reasonable period, but copies may remain in backups, caches, audit logs, legal compliance systems, search-engine indexes, analytics records, or archived records where permitted by law or necessary for legitimate business, legal, or security purposes.
You are responsible for claims, damages, liabilities, costs, and expenses arising from your listing content, lack of rights to provide it, or breach of the Listing Media License.
11. User-Generated Content
11.1. You are solely responsible for content you submit or transmit through the Service. We may remove or restrict content that violates these Terms or applicable law.
11.2. We may use automated and manual tools to help detect or address policy violations. Content actions are at our discretion, subject to applicable law.
11.3. We may retain user-generated content as needed for operational integrity, security, and legal compliance, consistent with our Privacy Policy.
12. Third-Party Services and Links
12.1. The Service may contain links to third-party websites or resources. We do not control and are not responsible for third-party content, policies, or practices.
12.2. Some features rely on third-party services, including payment processing or social media APIs. Your use of third-party services is governed by their terms. ListyPRO is not responsible for disruptions, changes, or violations caused by third-party services.
13. Disclaimer of Warranties and Limitation of Liability
13.1. The Service is provided as is and as available, without warranties of any kind, whether express or implied. Your use of the Service is at your own risk.
13.2. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content, including listings or AI-assisted outputs, will be accurate, reliable, or complete. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13.3. To the maximum extent permitted by law, ListyPRO will not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data, business, or goodwill, even if we have been advised of the possibility of such damages.
13.4. To the extent permitted by law, ListyPRO's total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to ListyPRO for the Service in the three months immediately preceding the event giving rise to the claim.
13.5. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, cyberattacks, labor disputes, internet outages, or government actions.
14. Indemnification
14.1. You agree to indemnify, defend, and hold harmless ListyPRO LLC and its officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms or applicable law, your content or use of the Service, alleged infringement of third-party rights, financial or commission disputes caused by your actions, misuse of the Service, or breach of obligations to other parties.
14.2. We may assume control of the defense of any matter subject to indemnification, and you agree to cooperate with our defense. Failure to cooperate may increase your responsibility for resulting costs or damages.
15. Governing Law and Dispute Resolution
15.1. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where such rules are mandated by applicable law.
15.2. Except where prohibited by law, disputes arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction in such courts.
15.3. Before filing a claim, the parties agree to attempt to resolve disputes informally through good-faith negotiations.
15.4. Except where prohibited by law, and subject to any applicable consumer protection rules, claims arising out of or relating to these Terms or the Service may be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules. To the maximum extent permitted by law, class action waivers and jury trial waivers apply and disputes will be resolved on an individual basis.
16. Changes to the Service
16.1. We may modify, suspend, or discontinue any aspect of the Service at any time. Where feasible, we may provide advance notice for significant changes.
16.2. For security, safety, or legal compliance reasons, we may implement changes immediately without prior notice.
17. Additional Provisions
17.1. These Terms and incorporated policies constitute the entire agreement between you and ListyPRO regarding the Service and supersede prior or contemporaneous agreements or understandings.
17.2. If any provision is held invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
17.3. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or delegate our obligations at any time.
17.4. You agree that electronic records and electronic acceptance are legally binding and admissible under the E-SIGN Act and similar laws.
17.5. The official language of these Terms is English. In the event of a conflict between translations and the English version, the English version controls.
